1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the iSamic meat audit and compliance management platform, including our web application and mobile application (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

2. Description of Services

iSamic provides a comprehensive platform for:

• Creating and managing audit templates
• Conducting audits at abattoirs, farms, and food safety facilities
• Generating compliance reports and documentation
• Managing users, companies, and facilities
• Tracking compliance across multiple locations
• Mobile audit data collection and synchronization

3. Account Registration

3.1 Account Creation

To use our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization. Services are intended for business and professional use only.

4. User Responsibilities

You agree to:

• Use the Services in compliance with all applicable laws and regulations
• Not use the Services for any illegal or unauthorized purpose
• Not interfere with or disrupt the Services or servers
• Not attempt to gain unauthorized access to any part of the Services
• Not upload malicious code, viruses, or harmful content
• Not impersonate others or misrepresent your affiliation
• Not copy, modify, or reverse engineer any part of the Services
• Ensure audit data accuracy and integrity
• Comply with food safety and regulatory requirements

5. Intellectual Property Rights

5.1 Our Property

The Services, including all content, features, functionality, software, and user interfaces, are owned by iSamic and protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or branding without prior written permission.

5.2 Your Content

You retain ownership of audit data, templates, and content you create using our Services ("User Content"). By using our Services, you grant us a license to:

• Store, process, and transmit your User Content
• Display your User Content to authorized users in your organization
• Create backups and ensure data availability
• Generate aggregate, anonymized analytics

6. Subscription and Fees

6.1 Subscription Plans

Access to certain features may require a paid subscription. Subscription terms, pricing, and billing are detailed in your subscription agreement or on our website.

6.2 Payment Terms

• Fees are billed in advance on a recurring basis (monthly or annually)
• Payment is due upon subscription activation
• We may change fees with 30 days' notice
• All fees are non-refundable except as required by law
• Failure to pay may result in service suspension or termination

6.3 Free Trial

We may offer free trials. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

7. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your information. Key points:

• We comply with ISO 27001 information security standards
• Data is encrypted in transit and at rest
• You control access to your organization's data
• We perform regular security audits and monitoring
• Data retention follows regulatory requirements (typically 7 years for audit data)

8. Service Availability

We strive to provide reliable Services but cannot guarantee:

• Uninterrupted or error-free operation
• 100% uptime (we target 99.9% availability)
• Compatibility with all devices or software
• Error-free content or data

We may suspend Services for maintenance, updates, or security concerns with advance notice when possible.

9. Termination

9.1 By You

You may terminate your account at any time through account settings or by contacting support. Termination does not entitle you to a refund.

9.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Pose a security risk to our Services

9.3 Effect of Termination

Upon termination, your access to the Services will cease. You may export your data within 30 days. After 30 days, we may delete your data except where required by law to retain it.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Data accuracy or completeness
• Uninterrupted or secure operation
• Results from use of the Services

You are responsible for ensuring audit data accuracy and compliance with applicable regulations. iSamic is a tool to assist with compliance but does not guarantee regulatory compliance.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ISAMIC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Third-party content or actions
• Unauthorized access to your account

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless iSamic and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Services
• Violation of these Terms
• Violation of laws or third-party rights
• Your User Content

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Services. Continued use after changes constitutes acceptance. If you do not agree to changes, you must stop using the Services.

14. Governing Law

These Terms are governed by the laws of South Africa. Any disputes shall be resolved in the courts of South Africa. However, we may seek injunctive relief in any jurisdiction to protect our intellectual property rights.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to contact us to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

15.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with South African arbitration rules, except where prohibited by law.

16. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and iSamic
• Severability: If any provision is invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any provision does not waive our right to enforce it later
• Assignment: You may not assign these Terms; we may assign them without notice
• Force Majeure: We are not liable for delays due to circumstances beyond our control
